Dragonfly CRM Terms and Conditions
Effective Date: June 4th, 2025

Welcome to Dragonfly CRM, a product developed and provided by Focused Forward Inc. By using Dragonfly CRM (the "Service"), you (the "Client") agree to the following terms and conditions (the "Agreement"). Please read them carefully. 

 

1. Definitions 

• "Service" refers to the Dragonfly CRM software, including all functionalities, updates, and support services. 

• "Client Data" refers to any data inputted or uploaded into the Service by the Client. 

• "User" means an individual authorized by the Client to access and use the Service. 

• "Agreement" means this Terms and Conditions document. 

 

2. License and Access 

Focused Forward grants the Client a non-exclusive, non-transferable, and limited license to use the Dragonfly CRM Service for internal business purposes only. 

 

3. Intellectual Property 

All intellectual property rights in and to the Dragonfly CRM, including but not limited to its code, design, and trademarks, are owned by Focused Forward Inc. Client retains ownership of all Client Data. 

 

4. Data Protection and Privacy 

Focused Forward agrees to implement reasonable security measures to protect Client Data. Client agrees to comply with all applicable privacy and data protection laws in relation to its use of the Service. 

 

5. Fees and Payment 

Use of the Service is subject to the fees outlined in the executed agreement or proposal. Fees are due as specified. Late payments may incur interest or service suspension. 

 

6. Support and Maintenance 

Focused Forward will provide technical support and updates in accordance with the selected support plan. Support does not include custom development unless specified in a separate agreement. 

 

7. Client Responsibilities 

The Client is responsible for maintaining the confidentiality of access credentials, ensuring authorized use only, and ensuring Client Data is lawful and accurate. 

 

8. Restrictions 

Client shall not: 

• Reverse engineer, decompile, or disassemble the Service. 

• Use the Service to develop competing products. 

• License, sell, or commercially exploit the Service to third parties without written consent. 

 

9. Term and Termination 

This Agreement remains in effect until terminated. Either party may terminate with 30 days' written notice. Focused Forward may suspend or terminate access for breach of this Agreement. 

 

10. Limitation of Liability 

Focused Forward is not liable for any indirect, incidental, or consequential damages. Liability is limited to the amount paid by the Client in the 12 months preceding the claim. 

 

11. Confidentiality 

Each party agrees to keep confidential all non-public information disclosed in connection with the Service. 

 

12. Amendments 

Focused Forward reserves the right to update these Terms and Conditions with notice. Continued use of the Service constitutes acceptance of the amended terms. 

 

13. Governing Law 

This Agreement shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada.
